Terms of Use

These General Terms of Use (hereinafter "Terms of Use") aim to define the terms and conditions of access and use of the website https://numescan.com (hereinafter the "Site") allowing in particular the digitization, conversion, storage, management and sharing of documents and associated data.

Access to or use of the Site constitutes unreserved acceptance of the Terms of Use. In case of disagreement, the natural or legal person using the Site (hereinafter the "User") must cease all use.

1. Service Provider

The Site is a public platform published and developed by the company Nüme, a simplified joint-stock company with a capital of 50,000 euros, whose registered office is located at 16 rue d’Athènes, 75009 Paris (Siret No. 884 346 248 00013) (hereinafter "Nüme").

The Site is hosted by DigitalOcean.

The Site was designed and developed by Nüme.

2. Purpose of the Site

The Site allows users to explore digital passports of scanned works (hereinafter the "Passports").

A Passport is a unique and secure digital identity grouping essential information relating to the entire life cycle of a product, in this case, a work, from its origin. It may notably include visuals, descriptive data, an operation history, and is materialized by a smart contract deployed on an EVM-compatible blockchain (Ethereum Virtual Machine), i.e., another blockchain that uses the same language/engine or very similar to Ethereum.

Access to the Site is free and open.

Nüme does not act as a seller, payment intermediary, custodian of digital assets or provider of services on digital assets.

3. Site Features

The Site allows:

  • To view public data associated with works: reading interface for publicly available information of a Passport (on-chain identifiers, title, artist name, description, relevant transactions, events issued by the smart contract, timestamps, etc.);
  • To access linked smart contracts: visualization of the contract address and compiler version, source code consultation;
  • To interact with these smart contracts, via "Read" functions to consult or "Write" functions to update the Passport, within the limits of blockchain authorizations.

4. Personal Data

The Site does not collect any personal data that would allow direct identification of the User (such as name, first name, email address, telephone number, etc.).

The Site does not require any registration, and does not collect or retain personal data from its Users.

For any additional clarification, the User is invited to consult the corresponding privacy policy.

5. Encrypted Data and Restricted Access

Certain data is encrypted ("Restricted Content") in smart contracts and can only be read with a valid passkey (access key).

Decryption is only performed after authentication by the authorized User and locally on the User's device.

6. Intellectual Property

All elements of the Site are protected by intellectual property rights relating in particular to the following elements: the user interface, the graphic charter, the code, the analysis tool, the navigation structure and organization of pages/tabs, the ordering and presentation of information, texts, images, videos, sounds, logos, domain names and trademarks, as well as computer programs and databases (hereinafter the "Intellectual Property Elements").

Unless otherwise stated, these Intellectual Property Elements are and remain the exclusive property of Nüme or its licensors.

Nüme grants the User a personal, non-exclusive, non-transferable and revocable license to access and use the Site, for strictly personal purposes and in accordance with the Terms of Use. No property right is transferred to the User.

Without prior written authorization from Nüme, the User is prohibited, directly or indirectly, from:

a. reproducing, representing, adapting, translating, modifying, arranging, deriving from the Site interface in whole or in part (including through systematic screenshots, video recordings);

b. extracting or reusing in a substantial or repeated manner the content of the Site's databases (art. L.341-1 et seq. of the French Intellectual Property Code);

c. proceeding with any form of decompilation, reverse engineering or attempt to access the source code, except for mandatory legal exceptions (art. L.122-6-1 of the French Intellectual Property Code);

d. using tags/meta-tags reproducing or imitating Nüme's trademarks, names or distinctive signs for search engine optimization or traffic diversion purposes;

e. imitating the overall arrangement, the characteristic combination of visual elements and the identity of the Site in a manner likely to constitute acts of parasitism and/or unfair competition.

The smart contracts and data referenced by the Site may fall under distinct license regimes (open-source or others); access via Nüme's interface does not entail any assignment or license on the interface itself.

Encrypted content ("Restricted Content") remains protected; their decryption does not authorize their reproduction or distribution without right.

7. Acceptable Use

The User is prohibited from:

  • Attempting to access protected areas without right or by bypassing authentication;
  • Exploiting "Write" functions without adequate on-chain authorization;
  • Performing any form of automated data collection or extraction ("scraping");
  • Using Numescan data in the context of AI model training activities, behavioral analysis or resale, without written authorization from Nüme;
  • Diverting the intended use of the Site or compromising its security.

8. Absence of Asset Custody

Nüme never has access to Passkeys (access keys) or wallets of its Users.

The Site is an explorer, not an asset management platform.

On-chain operations are exclusively signed by the User via their own compatible wallet. Nüme cannot initiate, authorize, or cancel a transaction on their behalf.

The Site constitutes an explorer and a Passport information/visualization tool. It is not a wallet, exchange/marketplace, broker, custodian, payment service provider or, more generally, a digital asset conservation or management service provider (collectively, "Financial Services").

9. Limitation of Liability

The data displayed comes directly from public blockchains. Nüme does not guarantee the accuracy, completeness, or updating of this data and all information they contain.

The Site is provided "as is" and "as available". Nüme disclaims all liability in case of data loss, bug, interruption, attack, or damage resulting from interaction with the blockchain or improper use.

The User retains exclusive control of their wallet and is solely responsible for securing their devices (device, Passkey) and transactions they initiate. On-chain entries are public and irreversible. Nüme cannot reset a key, block/unblock a wallet.

For restricted content "Restricted Content" that is encrypted, Nüme does not have access to decryption secrets or plaintext content. In case of passkey (access key) loss, access may be irrecoverable.

10. Third-Party Links and Services

Any wallet, extension, RPC gateway, indexer, authentication or storage solution used to interact with the blockchain is a third-party service governed by its own terms.

Each of these tools is a third-party service with its own terms of use, privacy policy, limits, fees, and risk levels.

Nüme is neither party to, nor responsible for their operation, content, security, availability or compliance.

11. Modifications

Nüme reserves the right to modify the Terms of Use at any time.

The user is invited to consult them regularly.

Continued use of the Site constitutes acceptance of the modifications.

12. Severability of Clauses

Any clause of the Terms of Use that would be invalidated under applicable law shall be deemed unwritten, but will not result in the nullity of the Terms of Use in their entirety.

In case of difficulty in interpretation between one of the titles and the content of one of the clauses, the clause shall prevail.

13. Applicable Law

The Terms of Use are subject to French law.

In case of dispute, the User will first contact support by sending an email to [email protected].

In the absence of an amicable agreement within thirty [30] days, any dispute relating to their interpretation or execution will fall under the exclusive jurisdiction of the Courts of Paris, subject to mandatory consumer protection rules.
